To begin, it is important to note that the UAE has a large number of Emirates, free zones, and authorities; thus, the incorporation procedure of one authority may be completely different from the document list of another authority located in the same emirate, or even neighboring emirates.
LLC
The incorporation process mainly consists of the following steps:
- Reservation of the entity\’s trade name with the licensing authority
- Obtaining preliminary licensing approval from the licensing authority
- In the case of an entity that will be conducting industrial or contracting activities, special approvals from the relevant Municipality, the MOE, and possibly other competent authorities will be required.
- Execution of the entity\’s memorandum of association before a notary public in the UAE
- The signing of an office lease agreement and its registration with the appropriate authorities, as well as
- Final registration with the licensing authority and license issuance
Other government departments may require additional approvals depending on the nature of the LLC\’s activities.
Branch
The incorporation process mainly consists of the following steps:
- Reservation of the branch\’s trade name with the licensing authority
- Obtaining preliminary licensing approval from the licensing authority
- Execution of the branch\’s national agent agreement before a notary public in the UAE, except in cases where the New Law exempts this requirement.
- Obtaining preliminary approval from the Ministry of Education
- The signing of an office lease agreement and its registration with the appropriate authorities
- Final registration with the licensing authority, license issuance, and
- Submission of a bank guarantee to the MOE, followed by the issuance of the final commercial registration certificate
Other government departments may require additional approvals depending on the nature of the Branch\’s activities.
Dual Licence Branch
The incorporation process mainly consists of the following steps:
- Obtaining a no-objection letter from the free zone in which the parent company is registered
- Submission of initial application to the licensing authority
- Signing of office lease agreement and its registration with the relevant authority (optional) and
- Final registration with the licensing authority and issuance of licence.
Additional approvals may be required by other government departments depending on the nature of the FZ-LLC\’s activities.
